GENERAL SALE CONDITIONS


1. ORDERS

The quote was made at the request of the customer. This quote has only an indicative value and is not binding either for Tecnografica S.p.A nor for the customer.

Orders are considered accepted only with the transmission to Tecnografica S.p.A., by e-mail or fax, of the order confirmation signed by the Customer; the confirmation must contain approval of all the material relating to the project (including graphic projects and any samples for design / color tests). Due to the technicality of our production, once the order confirmation is countersigned, it will not be possible to accept cancellations or changes to the order in progress. In the event that it is essential to make changes to orders in progress, the changes must be sent in writing and well reported: this implies a new feasibility assessment and a new sending of the order confirmation by Tecnografica S.p.A., cancelling effects of the previous sending. The cancellation and / or modification of the order will include the total charge of the costs incurred up to that moment.

2. PRODUCTION AND DELIVERY TIMES

The estimated delivery date is calculated according to the production course required by the written confirmation of the estimate in all its parts. The date is communicated in the order confirmation and specifies the day of shipment. In the event that it is necessary to make targeted deliveries to satisfy any customer requests, Tecnografica S.p.A. will charge the additional costs incurred. The delivery terms included in the order confirmation may undergo variations due to production and / or transport problems that will be communicated to the customer, agreeing on the new delivery date, without the same being able to claim anything by way of compensation or damage, when the same do not exceed 60 working days following the agreed date. Delays due to unforeseeable circumstances and / or force majeure are reserved. In the event that the customer requests a mandatory delivery date, or within the essential deadline, they must expressly specify it in writing in the initial order.

The previous essential term will be considered accepted only after written confirmation from Tecnografica S.p.A. but it will never generate cost charges and / or non-acceptance of the goods in the event that these terms are not maintained. If Tecnografica S.p.A. is required to deliver to the construction site, the customer or his / her representative must be present in the place indicated in the order confirmation. In the event that this does not happen, the material will be returned to the parent company where it will remain in storage until it is collected or requested for a new delivery. In this case an additional contribution will be charged for the cost of transport. In the event that the Customer does not collect the material or does not make the payments as agreed, Tecnografica S.p.A. will arrange for the storage of the goods in its warehouses, charging the costs, without these being compensated for by any damage caused by prolonged parking in the warehouse for which Tecnografica S.p.A. does not respond in any case.

3. INSTALLATION AND LAYING

Tecnografica S.p.A. specifies that the object of the contract consists solely and exclusively of the material contained in the order confirmation signed by both parties. The installation service of the purchased material is not to be considered included in the price of the material: the Customer can request the installation service which must be expressly specified in the initial order, and will be subject to confirmation by Tecnografica S.p.A., which will communicate the additional costs needed. The preparation of the site for the installation of the material remains the responsibility of the customer.

If the customer requests the installation of the material, it is the prerogative of Tecnografica S.p.A. propose installation dates depending on the availability of personnel, which must be confirmed in writing by the Customer. Any preliminary work that must be carried out at his expense to ensure the success of the installation will also be communicated to the Customer. If installation on site by Tecnografica S.p.A. is required, the Customer or his / her representative must be present in the place indicated for installation. If the required site conditions are not respected and it is therefore not possible to carry out the installation, or the Customer (or his / her representative) does not show up on the date and place established for the installation, the Customer will in any case be charged for the costs incurred by Tecnografica S.p.A..

In all cases where the installation of the material supplied is not explicitly requested, it is the responsibility of the Customer, who declares that he wishes to arrange the installation and / or installation of the aforementioned material on his own, expressly exempting Tecnografica S.p.A. from any obligation.

4. OBJECT AND PRICES

The Customer acknowledges that the material object of the order has the required characteristics and that it is manufactured specifically for the Customer. Therefore, it cannot be modified in any way except for the modifications accepted by Tecnografica S.p.A. at its sole discretion, which will result in a new expected delivery date that the Customer will not be able to contest in any way. All prices, unless otherwise provided, are VAT excluded. The price list in force applies except in the case in which there are no particular conditions in place that must be communicated by Tecnografica S.p.A. and countersigned for acceptance by the customer. The price list is updated when necessary, but every year is considered expired. It is up to the Customer, if he has a price list showing a date prior to the calendar year and has not received a written communication, to request information from the company. The expired price list cannot be applied unless notified in writing by Tecnografica S.p.A. in which the times and ways to process the order are specified. In the case of orders aimed at freezing prices, the payment of advances is a requirement for maintaining the agreed conditions. At the time of the delivery request, the quantity of material ordered must correspond exactly to what was agreed. In the case of integration to the order, the same conditions agreed with the creation of a new order confirmation will be applied; in the event of a decrease in the agreed quantities, Tecnografica S.p.A. reserves the right to change the discounts provided. In the event of a change in the material, subject to acceptance by Tecnografica S.p.A., it is expressly agreed that as the sizes, types and materials vary, prices will vary according to the price list in force at the time the change is requested.

5. COMPLAINTS AND RETURNS

Any complaints for obvious flaws or defects in the goods delivered must be sent to the company headquarters in writing (by registered letter with return receipt, fax, e-mail) no later than 8 days from receipt of the goods, possibly related to the appropriate supporting documentation.

Any complaints received after the established deadline or sent in a manner other than the above are not taken into consideration; furthermore, no complaints are accepted if unauthorized interventions of any kind are carried out on the goods after delivery. Complaints for obvious errors in the production of the material are to be reported before the installation of the materials themselves: Tecnografica S.p.A. assumes no responsibility for the installation of incorrect or defective material and related costs.

A subsequent inspection may be carried out by a company manager to verify the disputed. Returns are not accepted unless expressly authorized by the company. The goods must in any case be returned to the company in perfect condition at our factory with shipping prepaid. Except as provided above, any other problem relating to the warranty on the goods is governed by current regulations.

Only assistance due to an actual production error of the material will be provided free of charge.

6. DISCLAIMER OF WARRANTY

If Tecnografica S.p.A. recognizes the presence of flaws and / or defects, it will only be obliged to eliminate them, excluding the right to terminate the contract and / or reduce the price and / or compensation for damage, notwithstanding the provisions of Articles 1492 and 1494 of the Italian Civil Code and pursuant to art. 1965 and following of the Italian Civil Code except in cases of willful misconduct or gross negligence. Also excluded from the warranty are products with defects and / or recognizable or known defects by the Customer and accepted by him anyway; defects deriving from the wear and tear of normal use; maintenance, repairs or replacements of individual components carried out by unauthorized parties.

7. SOLVE ET REPETE CLAUSE

Pursuant to art. 1462 of the Italian Civil Code, in no case can the Customer refuse or delay the payment of the goods. Any disputes regarding the delivered material do not authorize the Customer to suspend the payment of invoices, even if the order is only partially executed.

8. INTERESTS

In the event of delayed payments or unpaid bills returned, compensatory interest will be charged to the Customer to the extent of the bank rates applied to the company, increased by 2% from the expiry of the term for payment and up to the actual balance, in any case to the extent envisaged. by Legislative Decree 231/2002 for default interest. Furthermore, the company reserves the right to suspend any other supplies agreed with the customer.

9. RESERVE OF OWNERSHIP

The goods supplied remain the property of Tecnografica S.p.A. until full payment of the same and ancillary costs has been made pursuant to art. 1523 of the Italian Civil Code, while the Customer is the custodian responsible for its conservation. This retention of title will also be enforceable if the goods are installed, seized or acquired in the passive mass of insolvency proceedings.

When installation is requested by Tecnografica S.p.A., the dates will be proposed to the Customer depending on the availability of the staff. It will be the Customer's responsibility to prepare the surfaces on site for product installation, which according to the specifications communicated by Tecnografica S.p.A. they must be smooth, uniform, clean and adequately treated.
